MixBright Terms of Service

Effective Date: June 26, 2025

These Terms of Service (“Terms”) govern your access to and use of MixBright (“Service”), provided by AdChat Media Technology Inc. (“MixBright,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Service. By using MixBright, you represent that you meet these requirements.

2. Account Registration

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep your credentials confidential. You are responsible for all activity under your account.

3. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use MixBright for lawful purposes. You agree not to:

  • Use the Service for any illegal, infringing, or harmful activity.
  • Reverse engineer, decompile, or attempt to extract source code.
  • Use automated means (e.g., bots or scrapers) to access or use the platform unless explicitly authorized.
  • Resell, sublicense, or otherwise exploit the Service commercially outside the scope of your subscription or license.

4. Intellectual Property

All content, software, and technology made available through the Service is the property of MixBright or its licensors. You retain ownership of the content you provide, but grant us a limited license to use it for the purpose of delivering the Service.

Generated personas and outputs are yours to use for commercial purposes, subject to these Terms and our Privacy Policy.

5. Payment and Subscriptions

If you purchase a paid plan, you agree to pay all applicable fees and taxes. Subscriptions renew automatically unless canceled before the end of the billing cycle. We may change pricing at any time with reasonable notice.

All payments are processed through third-party providers. We are not responsible for errors or failures of these providers.

6. Cancellation and Termination

You may cancel your account at any time through your account settings. We reserve the right to suspend or terminate your access for violations of these Terms or for behavior that harms other users or the Service.

Termination will result in loss of access to your data unless otherwise stated. We may retain your data in accordance with our Privacy Policy.

7. Disclaimers

The Service is provided “as is” without warranties of any kind. We disclaim all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee the accuracy, completeness, or utility of any personas, audience data, or recommendations.

8. Limitation of Liability

To the maximum extent permitted by law, MixBright shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the Service.

Our total liability shall not exceed the amount paid by you in the six (6) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless MixBright, its affiliates, and their respective directors, officers, employees, and agents from any claims, losses, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Modifications to the Service or Terms

We may modify these Terms or the Service at any time. We’ll provide notice of material changes via the website or by email. Your continued use after such changes constitutes acceptance.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
